1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your use of the TransactionFlow website, products, and services (collectively, the “Services”), as well as your participation in any SMS/MMS text messaging programs offered by TransactionFlow (the “Text Messaging Program”).
By accessing or using the Services, or by opting in to receive text messages from us, you agree to be bound by these Terms. If you do not agree, do not use the Services and do not participate in the Text Messaging Program.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement to use the Services and participate in the Text Messaging Program.
By using the Services, you represent and warrant that you meet these requirements.
3. Use of the Services
You agree to:
Use the Services only for lawful purposes and in compliance with these Terms and all applicable federal, state (including Georgia), and local laws and regulations.
Provide accurate, current, and complete information when creating an account or otherwise interacting with the Services.
Maintain the confidentiality of your login credentials and be responsible for all activities that occur under your account.
You agree not to:
Use the Services in a manner that violates any applicable law, including but not limited to telemarketing, anti-spam, and privacy laws.
Attempt to gain unauthorized access to the Services, other users’ accounts, or our systems.
Interfere with or disrupt the operation of the Services or any related networks.
Use the Services to harass, abuse, defame, or otherwise harm any person or entity.
Reverse engineer, decompile, or attempt to obtain the source code of any portion of the Services.
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we determine that your use poses a risk to us or others.
4. SMS / Text Messaging Program
By providing your mobile phone number and affirmatively opting in to receive text messages, you consent to receive SMS/MMS messages from TransactionFlow at the phone number you provide.
Consent to receive marketing text messages is not a condition of purchase or use of the core Services, although certain features may require a mobile number for operational reasons (such as authentication or critical alerts).
4.1 Types of Messages
You may receive:
Transactional and Account Messages: Account notifications, reminders, updates, security alerts, and information related to your use of the Services.
Service Messages: Customer support responses and operational communications.
Marketing Messages: Promotions, offers, and other marketing communications, if you have provided the necessary consent where required.
4.2 Message Frequency and Costs
Message frequency may vary based on your interactions and account settings. Messages may be recurring.
Message and data rates may apply. Check with your mobile carrier for applicable fees.
Carriers are not liable for delayed or undelivered messages.
4.3 Opt-Out and Help
You can manage your text messaging preferences:
To opt out of marketing texts at any time, reply “STOP” to any text message we send you.
For help or more information, reply “HELP” or contact us using the details in the Contact Us section below.
We may send a one-time confirmation message acknowledging your opt-out. After that, you will not receive further marketing messages via SMS unless you opt in again.
You understand that opting out of marketing messages will not necessarily stop all non-marketing, transactional, or service messages that we are permitted or required to send.
4.4 Your Responsibilities
By participating in the Text Messaging Program, you represent that:
You are the owner or authorized user of the mobile phone number provided.
You will promptly notify us if you change or deactivate your mobile phone number.
You agree that we are not responsible for messages sent to a number that you no longer control if you have not notified us of the change.
5. Intellectual Property
All content and materials included in or available through the Services—such as text, graphics, logos, icons, images, software, and other elements—are the property of TransactionFlow or its licensors and are protected by U.S. and international intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not:
Reproduce, distribute, modify, or create derivative works from any part of the Services.
Use any trademarks, logos, or branding without our prior written consent.
Remove, obscure, or alter any copyright, trademark, or other proprietary notices.
6. Third-Party Services and Links
The Services may link to or integrate with third-party websites, tools, or services that are not controlled by TransactionFlow. We are not responsible for the content, policies, or practices of such third parties, and your use of those services is at your own risk and may be subject to separate terms and privacy policies.
7. Disclaimers
To the fullest extent permitted by Georgia law and applicable federal law:
The Services and Text Messaging Program are provided “AS IS” and “AS AVAILABLE”, without any warranties of any kind, whether express, implied, or statutory.
We specifically disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.
We do not warrant the accuracy, completeness, or reliability of any content or information obtained through the Services.
You use the Services and participate in the Text Messaging Program at your own risk.
8. Limitation of Liability
To the maximum extent permitted by Georgia law and applicable federal law:
TransactionFlow, its owners, officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, or data, arising out of or in connection with your use of (or inability to use) the Services or the Text Messaging Program.
Our total aggregate liability for any and all claims arising out of or relating to these Terms, the Services, or the Text Messaging Program shall not exceed the greater of:
The amount you have paid to us for the Services during the six (6) months immediately preceding the event giving rise to the claim; or
One hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless TransactionFlow and its owners, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Services or participation in the Text Messaging Program.
Your violation of these Terms or any applicable law or regulation.
Your violation of any rights of any third party, including intellectual property or privacy rights.
10. Changes to the Services and Terms
We may modify, suspend, or discontinue all or part of the Services or Text Messaging Program at any time, with or without notice.
We may also update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Where required by law, we will provide additional notice of material changes. Your continued use of the Services or participation in the Text Messaging Program after any such changes constitutes your acceptance of the updated Terms.
11. Governing Law and Venue
These Terms and any disputes arising out of or relating to them, the Services, or the Text Messaging Program are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-law principles.
You agree that the exclusive jurisdiction and venue for any legal action or proceeding arising out of or relating to these Terms, the Services, or the Text Messaging Program shall be the state and federal courts located in Cobb County, Georgia, to the extent such courts have subject-matter jurisdiction. You and TransactionFlow waive any objection to such jurisdiction and venue.
To the extent permitted by law, you and TransactionFlow agree to waive any right to a jury trial.
12. Termination
We may suspend or terminate your access to all or part of the Services or the Text Messaging Program at any time and for any reason, including if we believe you have violated these Terms or applicable law.
You may stop using the Services at any time and may opt out of the Text Messaging Program as described in Section 4.3.
Upon termination for any reason:
Your right to use the Services and participate in the Text Messaging Program will immediately cease.
Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will remain in effect.
